The Trustees

Introduction to the board

The Zenex Foundation’s board of trustees is comprised of five members, three of the trustees are based in South Africa, and the remaining two members are based in the United Kingdom. The former members act as executive trustees and fulfill additional board functions.

The full board meets twice a year, once in May and again in October. The first annual board meeting takes place in Jersey in the United Kingdom. According to legal prescription, this meeting has to take place in Jersey, as it coincides with the annual meeting of the Zenex 1995 Trust. At this meeting the trustees are required to review the strategy of the Zenex Foundation, understand developments in the educational landscape of South Africa and engage constructively with an overview of projects’ successes and limitations. The trustees also oversee the governance of the Zenex Foundation, paying particular attention to the annual financial and organisation reports.

The second annual board meeting takes place in October each year in South Africa. At this meetings, the trustees focus on the progress reports submitted by projects to the Zenex Foundation. An added dimension of these meetings includes a two-day on-site visit to selected projects in a specific province. In this way the trustees are exposed to the lived realities of government, service providers and school communities. These site visits allow the trustees to better understand the challenges we face and appreciate the design and uptake of specific projects’ interventions. The trustees at this meeting review the Zenex Foundation’s operational and project budgets. Even though these budgets are planned for in three-year cycles, the operational budgets for each year are approved annually and one year in advance.

In addition to the two board meetings, where all five of the trustees are present, the executive members of the board meet six times a year. The executive is comprised of the three trustees who are resident in South Africa. The executive members are responsible for the approval of all of the projects’ evaluation reports and provide direction at crucial points in the evolution of the projects.
